This session will cover the "do’s and don’ts" of what to say to potential buyers. We will discuss potential questions you’ll receive and how to answer them. At the end of the day, no one can sell your business better than you, but we’ll just make sure you don’t give away the secret sauce to the wrong individual.Â
- Managing your buyer inquiries and staying organized
- What you need before you disclose sensitive information
- What to look for in a buyer to secure the best chance of closing the deal and ensuring the continued success of your business

Negotiating the Offer
It’s not always about the purchase price, it’s what you keep. In this session we will cover various terminologies that you’ll encounter in your discussions with buyers, such as:
- Earn-outs
- Seller Notes
- VTBs
- Holdbacks
- Working Capital Adjustments
The subtleties of the deal structure can make the difference between success and failure of the sale. Attention to detail while keeping the end goal in mind are both critical to whether the deal gets done. Here, I will help you stay on track, making sure you are comfortable in your position while meeting the buyer and their needs.

SESSIONÂ 7
Due Diligence
Due diligence is about demonstrating to the buyer that your business is their ideal investment. However, there are certain items that you should keep close to your chest and release at an appropriate time. We will cover:
- What you should share and whenÂ
- Where to store the documents
- How to keep track of what has been shared
- How to prevent a re-trade
You’ll finish this session with a sense of organization and calm, knowing that all the relevant information has been shared at the right point in the process and that you are prepared to answer any buyer questions that come up.

SESSION 8
Purchase Agreement
The purchase agreement is where you engage your attorney. In this session, we will cover best practices, gathered from the review of hundreds of purchase agreements.Â
- Where especially to focus your attention within the legalese
- How to take legal advice while keeping the deal alive
- Defining your non-negotiablesÂ
The PA is where it gets real. This is your binding document and it requires the appropriate time and attention. We will go through it together, looking for any points that could cause you trouble down the line and making sure you are walking away with the best deal.

SESSION 9
Closing
We’ll discuss how to prepare your business for closing - everything from creating an owner's manual to informing your key employees and suppliers.Â
